Vera Inc. Website and Mobile Application Terms of Use 

These Terms of Use (“Terms”) are entered into by and between you and Vera Inc. (“Vera,” “we,” “us,” or “our”). They govern your access to and use of www.vera.credit (the “Site”), the Vera mobile application (the “App”), and any services offered through the Site or App (collectively, the “Services”). 

By using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services. 

Important: Use of any Vera Credit Card is governed solely by the Cardholder Agreement, not these Terms. 

• You must be at least 18 years old and a legal resident of the United States. 
• You may not use the Services if you are located in a country subject to U.S. sanctions (OFAC).
• By using the Services, you represent and warrant that you meet these eligibility requirements. 

• To access certain features, you must register for an account. 
• You agree to provide accurate and complete information and to keep it updated. 
• You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. 
• Notify Vera immediately of any unauthorized access or security breach. 

• The Services are provided for your personal, noncommercial use. 
• You may not use the Services for unlawful, fraudulent, or abusive purposes. 
• You agree not to interfere with the operation of the Services or attempt to gain unauthorized access. 

• All content, trademarks, logos, and proprietary materials on the Services are owned or licensed by Vera. 
• You may not copy, reproduce, or distribute content without our written consent. 
• You may download or print materials for personal, noncommercial use, provided you retain all copyright notices. 

• Vera may monitor use of the Services for compliance and security. 
• We reserve the right to suspend or terminate access for violations of these Terms. 
• Suspected illegal activity may be referred to law enforcement.

• The Services may contain links to thirdparty websites or services. 
• Vera is not responsible for the content, accuracy, or security of thirdparty sites. 
• Use of thirdparty services is at your own risk.

• The Services are provided “as is” and “as available.” 
• Vera disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and noninfringement. 
• We do not guarantee uninterrupted access, error free operation, or virus free content. 

TO THE FULLEST EXTENT PROVIDED BY LAW, IN NO EVENT WILL THE COMPANY, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE THE SERVICES (INCLUDING ANY WEBSITES LINKED TO BY THE SITE OR APP AND ANY CONTENT ON THE SITE OR APP) INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS, OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORSEEABLE. 

You agree to indemnify and hold harmless Vera, its affiliates, officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services or violation of these Terms. 

Except as otherwise provided in your Cardholder Agreement, any dispute, claim, or controversy between you and Vera Inc. arising out of or relating to your use of the Site, App, or Services will be resolved by binding arbitration administered by New Era ADR applying Virginia law in accordance with its Arbitration Rules then in effect. Arbitration will be conducted virtually unless the parties agree otherwise. 

You and Vera agree that: 

• Individual Claims Only: Disputes must be brought in an individual capacity, not as a plaintiff or class member in any purported class, collective, or representative proceeding. 
• Mass Arbitration Procedures: If 25 or more similar claims are filed against Vera by or with the same counsel, the claims will be subject to New Era’s Mass Arbitration Rules, including settlement conferences and batching procedures.
• Consumer Fees: Consumer filing fees are capped at $300. Vera will pay all other administrative and arbitrator fees as required by New Era ADR rules. 
• Opt-Out: You may opt out of this arbitration provision by sending written notice to Vera within 30 days of accepting these Terms.
• Small Claims: You may bring claims in small claims court if eligible. 

This arbitration agreement is governed by the Federal Arbitration Act. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

This Terms of Use governs your use of our website and mobile applications. To the extent your use relates to your Card or Account, the Cardholder Agreement (including its Arbitration Agreement) will control if there is a conflict between this Terms of Use and the Cardholder Agreement. 

These Terms are governed by the laws of the State of Virginia, without regard to conflict of law principles. For disputes not subject to arbitration, you agree to submit to the jurisdiction of state and federal courts located in Loudoun or Fairfax Counties, Virginia. 

We may update these Terms at any time. Changes are effective upon posting. Your continued use of the Services constitutes acceptance of the revised Terms.
